These Terms of Service govern your subscription to and use of the Sygentx WhatsApp automation platform and services (the "Platform"). By completing registration, creating an account, or accessing the Platform, you represent that (1) you have read, understand, and agree to be bound by these Terms, (2) you are at least 18 years old and of legal age to form a binding contract, (3) all registration information is true, accurate, and complete, and (4) you have authority to bind yourself or your business entity.

These Terms, together with our Privacy Policy, form a binding legal agreement between you (or the business entity you represent) and Invokube FZE LLC, a Sharjah, UAE company, trading as “Sygentx” (“Sygentx,” “we,” “us,” “our”). If you do not agree, do not use the Platform.

We may update these Terms at any time. Continued use after changes constitutes acceptance.

1. Platform Use and Restrictions

Account Requirements: You must be 18+ years old. Provide complete, accurate registration information. The Platform is for business use only. Accounts are non-transferable. You own your account unless acting for a business entity.

Ownership Disputes: In ownership disputes, we determine the rightful owner based on payment history, account creation records, business documentation, or legal orders. We may suspend accounts during disputes. You indemnify us against related claims.

Permitted Use: Use the Platform only for lawful business purposes. You and your end-users must comply with all applicable laws including UAE PDPL, GDPR, CCPA, TCPA, CAN-SPAM, TRA regulations, and WhatsApp Business policies.

Prohibited Activities: No spam, fraud, phishing, malware distribution, adult content, gambling promotions, or political messaging without approval. No reverse engineering, decompiling, or removing proprietary notices.

Your Responsibilities:
Maintain all required licenses and permits
Ensure employees and customers comply with these Terms
Implement your own customer terms of service and privacy policy
Manage data subject rights requests (access, deletion, portability)
Handle data breach notifications within 72 hours per PDPL/GDPR

2. Compliance Obligations

You bear sole responsibility for all communications sent via the Platform, ensuring compliance with:
UAE Laws: Federal Law No. 45/2021 (PDPL), TRA SMS guidelines, UAE Do-Not-Call registry
US Laws: TCPA, TSR, CAN-SPAM, 10DLC registration requirements
EU Laws: GDPR, ePrivacy Directive
Other: WhatsApp Commerce Policy, carrier filtering rules, CASL (Canada)

Consent Requirements: Obtain explicit double opt-in consent before messaging. Maintain verifiable records including timestamp, opt-in method (webpage checkbox, SMS keyword, WhatsApp "START"), and easy unsubscribe. Honor all opt-outs within 24 hours.

Data Protection: As data controller, you handle all end-user privacy rights. We process data as your service provider only per our Privacy Policy. You must provide customers notice and obtain consent for data processing.

Telecommunications Compliance: Register for 10DLC (US), comply with international DNC lists. You indemnify us against fines, carrier blocks, or TCPA lawsuits (USD 500–1500 per violation, or local equivalent).

3. WhatsApp-Specific Terms

Messaging Tiers: Subject to WhatsApp reputation tiers (Tier 1: 1K/day → Unlimited). Quality violations reduce limits or trigger bans. We cannot reverse WhatsApp suspensions.

Template Requirements: Non-session messages require Meta pre-approval (24–48 hours). Max 3 variants per authentication/utility type. Dynamic fields limited to approved variables (name, order_id, date).

Media Specifications: Images/videos ≤16MB (JPG, PNG, MP4), documents ≤100MB (PDF, DOC), voice ≤16MB (MP3). Business-initiated media requires template approval.

Opt-In Methods: Web checkbox, SMS keyword, WhatsApp “START”, paper forms. US TCPA requires “Reply STOP to unsubscribe”.

Phone Numbers: Ported numbers remain your property. Export contacts before termination; numbers release after 14 days. WhatsApp Business API rate limits: 1000 messages/minute (Tier 1).

Reporting: Daily metrics (delivered/read/failed) available 7 days, monthly for 12 months. Export limit: 100K records/day.

4. Payments and Billing

Subscription Fees: Billed automatically monthly/annually per plan. All fees non-refundable except as required by UAE law. You authorize charges to your payment method.

Usage Surcharges: WhatsApp messages, SMS/MMS, email campaigns charged per-unit from prepaid wallet. Auto-recharge triggers at 20% balance. Overages bill immediately.

Billing Process:

  • First failed payment: Retry after 24 hours

  • Second failure: 1.5% monthly interest + retry

  • 5+ days delinquent: Account suspension + AED 200 reconnection fee

  • 10+ days delinquent: Account revocation + AED 200 + legal fee

Disputes: Notify info@sygentx.com within 30 days. Provide transaction details.
Taxes: You handle all transaction taxes (UAE VAT 5%, international withholding). We collect/remit UAE VAT only.
Cancellation: Via account settings. Fees continue through billing cycle end. No prorated refunds. Wallet balances non-refundable post-termination.
Price Changes: 30 days’ notice before renewal.

5. Third-Party Services and Integrations

You may connect third-party services (CRM, payment gateways). You are responsible for:

  • Integration setup and maintenance

  • Data sharing consents

  • Third-party terms compliance

We disclaim liability for third-party outages, data loss, or service failures. API usage must comply with rate limits and security requirements.

6. Intellectual Property

Our Rights: Platform software, content, and trademarks are our property or licensed to us. We grant limited, non-exclusive, non-transferable access during subscription.

Your Content: You retain ownership of content you upload. You grant us a worldwide, royalty-free license to host, display, and modify such content as needed to deliver the services.

Feedback: Suggestions become our property, royalty-free.

7. Disclaimers and Limitation of Liability

AS IS BASIS: The Platform is provided “AS IS” without warranties express or implied. No guarantees of uptime, deliverability, profits, or regulatory compliance.

Liability Cap: Maximum liability equals fees paid in the prior 3 months (minimum AED 367 / USD 100). No consequential, special, or punitive damages.

Indemnification: You indemnify us against claims arising from your use, customer actions, IP infringement, compliance failures, or data breaches.

8. Termination and Suspension

We may suspend or terminate your access for:

  • Non-payment (7 days)

  • Legal or policy violations

  • Security risks

  • Any other reason, at our discretion

Post-Termination: Access ends immediately. Data retained 90 days for potential reactivation, then permanently deleted per our Privacy Policy.

9. Miscellaneous

Force Majeure: Outages, natural disasters, or WhatsApp/Meta policy changes excuse performance.

Assignment: We may assign these Terms; you may not assign them without our prior written consent.
Entire Agreement: These Terms and the Privacy Policy supersede prior agreements relating to the Platform.
